The Auto Classica Vehicle Consignment Agreement
Our Consignment agreement is below for your review.
Once a vehicle has been consigned to us, an official version of this document on Auto Classica letterhead will be drawn up. This document will include the owner's or guardian's details, the vehicle details as well as any other amendments from the core agreement. This document will then be signed by both parties.
1. Agreement Term
The Consignor agrees to grant Auto Classica Storage Ltd a period of at least three (3) months from the date of this Agreement to market and sell the vehicle.
2. Marketing and Sale Efforts
Auto Classica Storage Ltd agrees to:
- Take high-quality images of the vehicle.
- Provide a detailed description highlighting the vehicle’s history, condition, and provenance.
- Market the vehicle using classified ad platforms such as Auto Trader, PistonHeads, Car & Classic and/or other appropriate channels.
3. Commission Fee
The Consignor agrees to pay Auto Classica Storage Ltd a commission of [tbc on each sale]% of the agreed sale price. Auto Classica Storage Ltd will invoice the Consignor for this amount once a sale has been agreed upon.
4. Financial Transactions
The exchange of funds for the vehicle will take place directly between the Consignor and the Purchaser, ensuring the transaction is at arm’s length from Auto Classica Storage Ltd. The Company acts only as a marketing and introducing agent.
5. Exclusions
Auto Classica Storage Ltd will not be responsible for:
- Settling any outstanding finance on the vehicle.
- Accepting part exchanges.
- Conducting comprehensive mechanical checks such as pre-sale inspections or geometry checks.
6. Storage Fees
If the vehicle is stored with Auto Classica Storage Ltd for the duration of the consignment, the Consignor agrees to pay the current storage rate. This fee applies while the vehicle is prepared, marketed, or used for test drives with prospective buyers.
7. Test Drives and Insurance
Auto Classica Storage Ltd is fully insured for test drives conducted by a member of its staff. However, the Company is not insured for individual test drives where the prospective buyer takes the vehicle out alone. In such cases, it is the responsibility of the Consignor and the prospective buyer to ensure they have adequate insurance coverage. Auto Classica Storage Ltd will not be liable for any damages or claims arising from such test drives.
8. Liability
The Consignor agrees to indemnify and hold Auto Classica Storage Ltd harmless from any claims, losses, or damages arising from the sale of the vehicle, except for those arising from the Company's gross negligence or wilful misconduct.
9. Termination
Either party may terminate this Agreement with thirty (30) days written notice. If the vehicle is sold within this notice period, the agreed commission fee will still be payable to Auto Classica Storage Ltd.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
